Terms of Service

These Terms of Service ("Terms") govern your access to and use of GovWinCanada, a service operated by Gemini Trading Inc. ("GovWinCanada," "we," "us," or "our"). By creating an account or using the service, you agree to these Terms.
1. Eligibility and authority
You must be legally capable of entering into a binding agreement. If you use GovWinCanada for an organization, you confirm that you have authority to bind that organization to these Terms.
2. Account responsibilities
You must provide accurate information, protect your login credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account unless prohibited by law.
3. The service
GovWinCanada provides tools for discovering procurement opportunities, assessing pursuits, organizing business evidence, preparing proposals, and evaluating submission readiness. Features may change as the service develops.
4. No government affiliation
GovWinCanada is an independent commercial service. It is not a department, agency, representative, or official service of the Government of Canada or any provincial, territorial, municipal, Indigenous, or other public authority.
5. Procurement information
Procurement information may originate from public authorities or third-party sources. Although we work to provide accurate and useful information, you must verify all deadlines, requirements, amendments, eligibility rules, and submission instructions against the official procurement source before acting.
GovWinCanada does not guarantee that every opportunity, amendment, document, or deadline will be available, complete, current, or error-free.
6. Automated and AI-assisted outputs
Scores, recommendations, extracted requirements, summaries, draft language, readiness reports, and similar outputs are decision-support tools. They are not legal, financial, accounting, procurement, or professional advice and do not guarantee eligibility, compliance, contract award, revenue, or any particular result.
You are responsible for qualified human review of all outputs and for every bid or submission decision.
7. Your content
You retain ownership of content you submit to GovWinCanada. You grant us a limited right to host, process, reproduce, and transmit that content only as necessary to operate, secure, support, and improve the service and comply with law.
You confirm that you have the rights and permissions required to provide your content and that doing so does not violate confidentiality, privacy, intellectual property, procurement, employment, or other obligations.
8. Confidential and sensitive information
You are responsible for deciding what information to enter into the service. Do not upload classified information, controlled government information, protected security material, payment-card data, health records, or other highly sensitive information unless GovWinCanada expressly supports that data type in writing.
9. Acceptable use
You must not:
- Use the service unlawfully or fraudulently.
- Access another user's account, workspace, or information without authorization.
- Interfere with security, availability, or operation of the service.
- Introduce malicious code or attempt to bypass access controls.
- Scrape, copy, reverse engineer, or resell the service except as permitted by law or written agreement.
- Use outputs to misrepresent qualifications, certifications, experience, references, or compliance.
10. Third-party services
GovWinCanada may link to or rely on third-party websites, procurement portals, hosting providers, and other services. We do not control and are not responsible for their availability, content, security, or terms.
11. Intellectual property
GovWinCanada, its software, design, branding, workflows, documentation, and related intellectual property are owned by Gemini Trading Inc. or its licensors. These Terms provide a limited right to use the service and do not transfer ownership.
12. Fees and subscriptions
If you purchase a paid plan, the price, billing period, taxes, renewal terms, and cancellation terms presented at purchase form part of these Terms. Except where required by law or expressly stated otherwise, fees already paid are non-refundable.
13. Suspension and termination
You may stop using the service at any time. We may suspend or terminate access when reasonably necessary to address non-payment, security risk, unlawful use, material breach of these Terms, or harm to users or the service.
14. Service availability and disclaimers
To the maximum extent permitted by law, GovWinCanada is provided "as is" and "as available." We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.
15. Limitation of liability
To the maximum extent permitted by law, Gemini Trading Inc. and its directors, officers, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, opportunities, contracts, or goodwill.
Our total liability arising from the service will not exceed the amount you paid to GovWinCanada during the twelve months preceding the event giving rise to the claim. These limitations do not apply where prohibited by law.
16. Indemnity
To the extent permitted by law, you agree to indemnify Gemini Trading Inc. against third-party claims arising from your unlawful use of the service, your content, your breach of these Terms, or your violation of another person's rights.
17. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. Subject to applicable law, disputes will be submitted to the courts of competent jurisdiction in Ontario.
18. Changes to these Terms
We may update these Terms as the service or applicable requirements change. We will post revised Terms with an updated effective date and provide additional notice when required. Continued use after the effective date constitutes acceptance where permitted by law.
